Doctrine of Ultra Vires-Effects and Exceptions

Company is an artificial legal person that is incorporated by law, which generally emphasize on the fact that when it comes to incorporation of a company Memorandum of Association and Articles of Association are the core documents without which a company's incorporation is impossible. Memorandum of association limits the company's operation and authorities, beyond which the acts are ultra-vires. The present paper focuses on the Ultra vires transactions, their exceptions and the leading cases for Ultra vires transactions.
